Constitution of the Ipswich Mountaineering Club

1.  General

1.1. The club shall be called the Ipswich Mountaineering Club, also referred to as the "IMC".

1.2. The aim of the club shall be to promote mountaineering and allied sports.

1.3. Membership shall be open to anyone. Persons below the age of eighteen years shall be required to prove parental consent to their membership.

1.4. The IMC agrees to adopt the British Mountaineering Council's Child Protection Policy.

1.5. Anyone who attends an IMC organised meet and participates with the club in activities for which IMC members are insured through affiliation to the BMC must belong to a BMC affiliated club or hold individual or family membership of the BMC.

1.6. An IMC Organised Meet is defined as an activity that is organised by an IMC member and that is advertised through the IMC website (ipswich-m-c.co.uk), email list (members@ipswich-m-c.co.uk) or newsletter. From time to time other events may be advertised through these channels, but they must be explicitly identified as not being IMC organised activities.

1.7. Club membership begins when the membership secretary or his nominated representative (club officers or committee members or meet organiser) receives the application or renewal form.

1.8. A copy of the constitution shall be kept by the secretary and shall be available for inspection by paid up club members.

2.  Liability

2.1. Members of the club who participate in mountaineering and allied sports or any activities of the club do so entirely at their own risk.

2.2. The club shall bear no liability for death, personal injury, loss or damage of any equipment or personal possessions belonging to club members or anyone else however caused.

3.  General Meetings

3.1. All general meetings of the club shall be held in Ipswich.

3.2. Quorum at general meetings shall be ten percent of the membership or five paid-up members, which ever is the greater.

3.3. Motions for consideration at a general meeting shall be supported by a proposer and seconder and should reach the secretary at least a week before the meeting. Motions not meeting these requirements, other than motions that affect the constitution, may be raised at the discretion of the chairman.

3.4. Motions to change or otherwise affect the constitution shall be submitted in writing, with signatures of the proposer and seconder, to the secretary at least three weeks before a general meeting. Such motions shall be included with the notification of the meeting to members.

3.5. The club shall hold an annual general meeting each year at which the secretary shall present a report, the treasurer shall present the club accounts and there shall be elections for the committee.

3.6. A general meeting may be called by a majority of the committee at any time. An announcement of such a meeting must be posted at least two weeks before the date of such a meeting.

3.7. An extraordinary general meeting may be held if the signatures of at least two thirds of the paid up membership of the club are obtained in support of such a meeting.

4.  Committee

4.1. At the annual general meeting the paid-up members of the club shall elect a committee which shall consist at least of president, secretary, and treasurer.

4.2. The committee may co-opt additional members. Such appointments shall last only until the next annual general meeting.

5.  Funds

5.1. The treasurer shall keep an account in the name of the club name. There shall be three signatories for the account being the president, treasurer and secretary. To make withdrawals from the account the signatures of the treasurer and one of the other signatories shall be jointly required.

5.2. The funds of the club shall be used only to further the aims of the club.

5.3. In the event of the dissolution of the club, the assets of the club shall be disposed of to an appropriate charitable cause in accordance with the aims of the club.

5.4. The annual subscription fee for club members shall be fixed from year to year as considered necessary by the committee and ratified by the annual general meeting.

5.5. Subscriptions shall be paid for each calendar year. The treasurer shall have discretion to waive part or all of the subscription for the year if a member joins late in the year.

5.6. The accounts of the club shall be independently audited before the annual general meeting and the auditors shall report their findings to the annual general meeting.
